LEAK Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you (and, if applicable, the business you represent) and LEAK (“LEAK,” “we,” “us”) governing your access to and use of the LEAK application and related services (the “Service”). They also serve as LEAK's end-user license agreement for the Service. By creating an account, connecting a data source, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. What LEAK does
LEAK connects to a small business's accounting and business data — currently via a QuickBooks Online OAuth connection and/or CSV file imports you upload — and analyzes that data to identify potential revenue leaks such as overdue invoices, margin deterioration, pricing issues, labor overruns, stale estimates, and recurring expense anomalies. LEAK presents findings with supporting evidence, and, for some categories, drafted follow-up actions (for example, invoice payment reminders or estimate follow-ups) that you can review and choose to send to your own customers.
Every dollar figure LEAK shows is labeled either as a factual amount calculated directly from your connected data, or as an estimated opportunity value with a stated confidence level. LEAK does not guarantee any specific savings, recovered amount, or business outcome. Findings and estimates are analytical output based on the data you provide and may be incomplete or incorrect if that data is incomplete, inaccurate, or unusual. LEAK does not provide financial, legal, tax, or professional accounting advice, and nothing in the Service should be treated as such.
2. Accounts and eligibility
You must provide accurate information when creating an account and are responsible for keeping your login credentials confidential and for all activity that occurs under your account. You represent that you are authorized to connect or upload the business data you provide to LEAK — for example, because it is your own business's data, or you are an owner, employee, or agent authorized to act on that business's behalf. The Service is intended for business use by adults capable of forming a binding contract; it is not directed to, and we do not knowingly collect account information from, children.
3. Connected data sources
If you connect QuickBooks Online, you authorize LEAK to access the accounting data made available through that connection (such as customers, vendors, invoices, estimates, and expenses) for as long as the connection remains active, solely to provide the Service to you. Your use of QuickBooks remains subject to Intuit's own terms and policies, which are separate from these Terms. You can disconnect QuickBooks at any time from Data Sources in your dashboard. If you import data via CSV, you are responsible for the accuracy of the file you upload; LEAK validates and processes CSV rows on a best-effort basis and reports rows it cannot process rather than silently dropping or guessing at them.
4. Automations and communications to your customers
Some LEAK features (currently Invoice Recovery and Estimate Follow-Up) can prepare draft messages intended for your own customers. LEAK will never send a message to your customer, or take any other consequential action on your behalf, without you first reviewing and explicitly approving that specific action. There is no bulk-approve and no automatic progression to a sent state. Where a feature is currently limited to simulating a send rather than delivering a real message, the product interface will say so plainly (for example, “Sent (simulated)”) — do not rely on any communication as having actually reached your customer unless LEAK indicates it was really sent. You are solely responsible for the content and consequences of any communication you approve for sending, including its accuracy and your compliance with any laws applicable to communicating with your own customers.
5. Subscription, billing, and cancellation
Certain features require an active paid subscription. Subscriptions are billed on a recurring basis (for example, monthly) through our payment processor, Stripe, at the price and billing cycle shown to you at checkout. Payment card information is entered directly into Stripe's hosted checkout and billing portal — LEAK does not receive or store your full card number. You can manage or cancel your subscription at any time from the billing portal linked in Settings. Cancelling stops future charges; unless otherwise stated at checkout or required by applicable law, fees already charged are non-refundable, including for partial billing periods. If a payment fails, we may restrict access to paid features until payment is resolved. Canceling your subscription does not by itself delete your account or data — see Section 8.
6. Acceptable use
You agree not to, and not to permit anyone else to:
- access or attempt to access another business's account or data without authorization;
- interfere with, disrupt, probe, or attempt to bypass the security or normal operation of the Service;
- use the Service to send unlawful, deceptive, or abusive communications to any recipient;
- reverse engineer, decompile, or attempt to extract the source code of the Service, except where applicable law expressly permits it;
- resell, sublicense, or provide the Service to third parties on a standalone basis without our prior written agreement; or
- upload data you are not authorized to provide, or use the Service in violation of applicable law.
7. Intellectual property
LEAK and its licensors own all right, title, and interest in and to the Service, including its software, detectors, design, and branding, excluding the data you connect or upload. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your own business purposes during your subscription term. You retain ownership of your business data; by using the Service you grant us a limited license to process that data solely to provide the Service to you, as described in the Privacy Policy.
8. Termination
You may stop using the Service and delete your imported data or your entire account at any time from Settings; account deletion is permanent and cannot be undone. We may suspend or terminate your access to the Service, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure for us, or if required by law. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.
9. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT IT WILL IDENTIFY EVERY ISSUE PRESENT IN YOUR DATA, OR THAT ANY FINDING, ESTIMATE, OR SUGGESTED ACTION IS ACCURATE OR COMPLETE. YOU ARE RESPONSIBLE FOR INDEPENDENTLY VERIFYING ANY FINDING BEFORE RELYING ON IT OR ACTING ON IT.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEAK AND ITS OFFICERS, EMPLOYEES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIABILITY LIMITATIONS, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
11. Governing law
These Terms are governed by the laws of the United States and the state in which LEAK's operating business entity is organized, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in that state, and you consent to personal jurisdiction there.
12. Changes to these Terms
We may update these Terms from time to time. If we make a material change, we will provide notice appropriate to the change (for example, by posting an updated “Last updated” date on this page or by emailing the address on your account). Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.
